These Terms ("Terms") govern your participation in the referral program ("ReferralProgram") offered by Moburst Ltd. and its affiliates ("Moburst").
Eligibility. To be eligible for participation in the Referral Program, you must be a representative of an existing client of Moburst's.
How it Works. As part of the Referral Program, you can refer potential clients ("Referred Clients") to Moburst by providing contact information of the Referred Client to Moburst.
Restrictions
You may not refer yourself or your own business.
The Referred Client must be a new client to Moburst and not have an existing or prior engagement with Moburst and must not have previously been introduced or referred to Moburst.
Moburst will evaluate the Referred Client and determine if it meets Moburst's criteria for acceptance.
Referral Rewards
If, within six (6) months from the date of the referral, an eligible Referred Client enters into a revenue-bearing agreement with Moburst for the provision of services by Moburst, you may be eligible for a referral reward ("Reward"). The entitlement to Rewards is subject to receipt of the first payment for services by the Referred Client.
The Rewards currently available are set out in Exhibit A. These Rewards are subject to change by Moburst from time to time, at its discretion, and Moburst shall provide notice of any changes (including via email).
You are responsible for any costs associated with your activities as part of the Referral Program and any taxes associated with the Reward.
Engagement with Referred Customers. Moburst is under no obligation to engage with any Referred Client and may do so at its sole discretion.
Representations and Undertakings.
You represent that you are permitted to participate in the Referral Program and by doing so, you will not violate any laws or agreements to which you are party.
You undertake that your activities as part of the Referral Program will, at all times, be in compliance with applicable laws.
You represent that all information provided about Referred Clients is true and accurate and that you have the right to provide Moburst with any information about Referred Clients that you provide, including any personal data.
Intellectual Property. Moburst retains all rights, ownership, and interests in its logos, copyrights, and trademarks. These terms do not grant you any rights in or to Moburst's intellectual property.
Termination and Modification. Moburst reserves the right to terminate or modify the Referral Program at any time upon notice. Termination of the Referral Program will not affect any entitlement to a Reward for a referral made prior to termination.
Limitation of Liability. Moburst will not be liable to you for any loss of profits or costs, or for any indirect, special, incidental, or consequential damages, associated with your participation in the Referral Program. In no event will Moburst's aggregate maximum liability exceed an amount of $1,000.
General
These Terms constitute the entire agreement between you and Moburst regarding the Referral Program and supersede any prior agreements or understandings.
You are an independent contractor and is not an employee or agent of Moburst. You may not make any representations about Moburst and it you do not have any authority to accept any undertaking or other obligation on Moburst's behalf.
These Terms shall be governed by the laws of the State of Israel and any disputes arising out of or relating to these Terms or the Referral Program shall be subject to the exclusive jurisdiction of the courts in the State of Israel.
